END USER LICENSE AGREEMENT

1. Agreement and License
This End User License Agreement (“Agreement”) establishes the terms and conditions between you, the end-user, and Springwell Technologies Limited (“Licensor”). This Agreement governs your access to and use of AIUTA Connect (the “Application”).
By downloading, installing, or using the Application, you explicitly acknowledge that you have read, understood, and agree to be bound by all the terms of this Agreement. You further acknowledge that this Agreement is solely between you and Springwell Technologies Limited, not Apple Inc. (“Apple”). The Licensor, not Apple, is solely responsible for the Application and its content.
2. Scope of License
The Licensor grants you a limited, non-transferable, non-exclusive license to use the Application on any Apple-branded devices that you own or control, as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions. This license allows you to download and use the Application for your personal use only.
The Application may be accessed by other accounts associated with you through Family Sharing or volume purchasing. However, you may not distribute or make the Application available over a network where it could be used by multiple devices simultaneously. You must remove the Application before selling the device on which it is installed.
You may not reverse engineer, decompile, disassemble, modify, or create derivative works of the Application or any part thereof. Any attempt to do so is a violation of this Agreement and the rights of the Licensor.
3. Data Collection and Privacy
The Licensor collects and processes data in accordance with its Privacy Policy, available at https://aiutaconnect.com/privacy. By using the Application, you consent to the collection and use of technical data and related information, including but not limited to technical information about your device, system, application software, and peripherals. This information is gathered periodically to facilitate software updates, product support, and other services related to the Application.
4. Maintenance and Support
Springwell Technologies Limited is solely responsible for providing maintenance and support services for the Application. We are committed to addressing technical issues and providing necessary updates to ensure optimal performance. You should report any defects within 30 days of discovery by contacting us at mobileservices@thespringwellgroup.com.
Apple has no obligation whatsoever to provide any maintenance or support services in connection with the Application. If you have technical issues or questions about the Application, you should contact the Licensor directly, not Apple.
5. Warranty and Product Claims
The Application is provided “AS IS” and “AS AVAILABLE” without any warranty, either express or implied. However, if the Application fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price of the Application. To the maximum extent permitted by law, Apple will have no other warranty obligation whatsoever with respect to the Application.
Springwell Technologies Limited is solely responsible for addressing any claims relating to the Application or your use of it, including but not limited to:
- Product liability claims
- Any claim that the Application fails to conform to legal or regulatory requirements
- Claims arising under consumer protection, privacy, or similar legislation
- Any third-party intellectual property infringement claims
6. Intellectual Property Rights
All intellectual property rights in the Application are owned by or licensed to Springwell Technologies Limited. Nothing in this Agreement constitutes a transfer of any intellectual property rights. You retain ownership of any content you create or upload through the Application.
The Licensor will defend you against any claims that the Application infringes another party's intellectual property rights, and will pay any damages finally awarded against you in any such action.
7. Legal Compliance
The Application complies with applicable Nigerian laws and regulations. You represent and warrant that you will use the Application in compliance with all applicable laws in the jurisdiction where you use the Application, including any local restrictions concerning usage and export of the Application.
8. Termination
This Agreement remains in effect until terminated by you or the Licensor. Your rights under this Agreement will terminate automatically without notice if you fail to comply with any of its terms. Upon termination, you must cease all use of the Application and delete all copies.
9. Third-Party Terms and Beneficiary
When using the Application, you must comply with any applicable third-party terms of agreement. Apple and its subsidiaries are third-party beneficiaries of this Agreement and, upon your acceptance of this Agreement, will have the right to enforce it against you as a third-party beneficiary.
